The company has reserved 75% of the net offer for qualified institutional buyers, 15% for non-institutional investors, and 10% for retail investors. Shares worth ₹1 crore have been reserved for eligible employees, who will receive the shares at a discount of ₹9 per share on the final issue price.

Valuation: A Pragmatic Pivot

Shiprocket’s IPO valuation of approximately ₹7,057 crore represents a discount of roughly 30% from the nearly ₹10,000 crore valuation it commanded in its last private funding round in December 2024. This pragmatic pricing reflects a broader trend in India’s startup IPO market, where public market investors are increasingly prioritising profitability and sustainable unit economics over growth-at-any-cost narratives.

The discounted valuation comes despite improving financials. Shiprocket’s net loss narrowed 9.5% to ₹38.3 crore in H1 FY26, with operating revenue up 15.4% to ₹942.7 crore. For full FY25, losses had narrowed 88% to ₹74.5 crore, with revenue growing 24% to ₹1,632 crore.

Financial Performance: Revenue Growth Amid Narrowing Losses

Shiprocket’s financial trajectory reflects its transition from a pure-play logistics provider to a comprehensive e-commerce enablement platform:

MetricFY24FY25FY26
Revenue₹1,632 crore₹2,024 crore (24% YoY)
Net Loss₹595.1 crore₹74.4 crore₹79.2 crore

The company primarily operates on a consumption-based pricing model, with revenue linked to merchants’ usage of its tech platform. Revenue from merchant solutions contributed 99.4% of operating revenue in H1 FY26. Shiprocket had 145,269 active merchants during the period, including 8,596 merchants with an average of more than 100 unique transactions per active month.

Use of IPO Proceeds

Shiprocket plans to deploy the net proceeds from the fresh issue across several strategic priorities:

  • ₹365.6 crore for expansion of core and emerging business platforms, including ₹205.8 crore for marketing and ₹159.8 crore for technology infrastructure
  • ₹210 crore for repayment or prepayment of borrowings (total outstanding debt stood at ₹244.5 crore as of July 10, 2026)
  • Remaining funds for potential inorganic growth opportunities and general corporate purposes

Investor and Shareholding Structure

Shiprocket is backed by marquee investors including Bertelsmann, Temasek, Tribe Capital, and Eternal (formerly Zomato). The shareholding structure as per the RHP reveals:

ShareholderStake
Bertelsmann India Investments21.32%
Tribe Capital14.14%
Eternal (formerly Zomato)6.85%
Temasek5.29%
Saahil Goel (Co-founder)4.84%
Gautam Kapoor (Co-founder)4.84%
ESOP Pool5.97%

Notably, Eternal and Temasek are not participating in the OFS, a structural signal that the platform’s largest institutional backers are not using the public window as an exit. The OFS will be led by Lightrock (₹271.7 crore), followed by Tribe Capital (₹120 crore). Co-founders Gautam Kapoor and Saahil Goel will each sell shares worth approximately ₹61 crore.

A Packed IPO Calendar

Shiprocket’s IPO is part of a busy primary market calendar in August 2026. Over a dozen companies, including Zepto, Truhome Finance, and Molbio Diagnostics, are preparing to raise more than ₹25,000 crore through public issues.

The Road Ahead

Shiprocket’s IPO represents a significant milestone for India’s startup ecosystem. The company, founded in 2017 by Gautam Kapoor, Saahil Goel, Vishesh Khurana, and Akshay Ghulati, has evolved from a shipping aggregator to a comprehensive e-commerce enablement platform offering logistics, checkout, payments, fulfilment, and cross-border commerce solutions for MSMEs and large retailers.

The listing will offer a fresh test of how public markets are pricing India’s startup unicorns, as Shiprocket seeks a valuation cut even while its financials improve. With its focus on technology-driven e-commerce enablement and a growing merchant base, Shiprocket is positioning itself to capture a larger share of India’s rapidly expanding digital commerce ecosystem.
